The Software is made available for viewing, evaluation, modification, and permitted internal use, but commercial service, hosting, managed-service, reseller, distributor, integrator, and SaaS use by anyone other than synit.io is prohibited unless synit.io gives prior written permission. 1. Definitions "Licensor" means synit.io, its legal successors, and its authorized assigns. "You" or "Licensee" means any individual or legal entity that receives, downloads, accesses, copies, modifies, runs, or otherwise uses the Software. "Software" means the contents of this repository, including source code, object code, modules, packages, scripts, configuration files, documentation, examples, templates, designs, build files, and all modifications, extensions, derivative works, or substantial portions of any of the foregoing. "Use" means to access, download, copy, install, run, execute, test, evaluate, study, modify, compile, build, deploy, or create derivative works of the Software. "Internal Users" means your employees, officers, directors, contractors, consultants, and Affiliates who access or use the Software solely on your behalf and solely for your own internal business operations. "Affiliate" means an entity that directly or indirectly controls, is controlled by, or is under common control with you. "Permitted Internal Use" means Use of the Software by you and your Internal Users solely for your own internal operations, workflows, administration, automation, research, development, testing, security, reporting, analytics, or other internal business purposes. Permitted Internal Use includes production use inside your own organization, including by for-profit companies, provided that the Software is not offered, hosted, operated, managed, distributed, exposed, or made available to third parties as part of a product, platform, service, SaaS, managed service, service-provider offer, outsourcing offer, consulting offer, reseller offer, or other commercial offering. "Third Party" means any person or entity other than you, your Affiliates, and your Internal Users. "External User" means any Third Party, including any customer, client, prospect, partner, supplier, vendor, reseller, distributor, or public user. "Commercial Service Use" means directly or indirectly monetizing the Software, or making the Software available to Third Parties, including by offering, selling, reselling, sublicensing, distributing, hosting, managing, operating, supporting, integrating, embedding, white-labeling, outsourcing, providing access to, or otherwise using the Software as part of a paid or monetized product, service, SaaS, managed service, platform, marketplace, consulting service, implementation service, integration service, reseller offer, distributor offer, agency offer, freelancer offer, or service-provider offer. Commercial Service Use includes use where the Software is a material part of a paid or monetized offering, even if the Software itself is not separately itemized, separately charged, or separately branded. "Managed Service" means any arrangement in which a person or entity hosts, runs, operates, administers, maintains, monitors, supports, customizes, or provides access to the Software for or on behalf of a Third Party, whether or not the Software is branded as synit.io software. "Attribution Notice" means a notice substantially similar to: "This software uses [PROJECT NAME] by synit.io." or, where technically reasonable: "Powered by [PROJECT NAME] by synit.io." 2. Acceptance By downloading, accessing, copying, installing, running, modifying, or otherwise using the Software, you accept this License. If you do not agree to this License, you may not use the Software. 3. Grant of Rights Subject to your compliance with this License, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide, royalty-free license to: a. view, download, copy, install, run, test, and evaluate the Software; b. use the Software for personal, educational, research, development, testing, and Permitted Internal Use purposes; c. modify the Software solely for your own personal use or Permitted Internal Use; d. share copies and modifications of the Software within your own organization and with your Internal Users, provided that all such use remains Permitted Internal Use and remains subject to this License; e. allow contractors or consultants to access and use the Software solely on your behalf, solely for your Permitted Internal Use, and only if they are bound by terms at least as protective of Licensor as this License; and f. submit issues, patches, pull requests, or other contributions to Licensor for possible inclusion in the Software. Commercial Internal Use is expressly permitted. This means that a company may use the Software internally for free, including in production, as long as the company does not make the Software available to Third Parties or use it as part of a Commercial Service Use. 4. Attribution Requirements You must retain all copyright notices, license notices, attribution notices, and other proprietary notices in the Software and in any copies or modifications. If you deploy or use the Software internally, you must provide reasonable attribution to synit.io. The attribution may be placed in a location that is reasonable for the form of the Software, such as: a. the user interface footer; b. an "About" or "Credits" screen; c. administrator documentation; d. internal technical documentation; e. repository documentation; or f. another reasonably visible location available to Internal Users. You are not required to publicly disclose your internal use of the Software solely because of this attribution requirement, provided that the Software is used only for Permitted Internal Use. You may not remove, obscure, or alter any attribution notice in a way that misrepresents the origin of the Software. You may not use the name, logo, domain, trade name, trademark, or branding of synit.io in a way that suggests endorsement, sponsorship, partnership, or commercial authorization unless synit.io has given prior written permission. 5. Restrictions Except with prior written permission from synit.io, you may not: a. offer, sell, lease, rent, sublicense, resell, redistribute, or commercially distribute the Software; b. offer or provide the Software, or any modified version, derivative work, or substantial portion of it, as a SaaS product, hosted product, managed service, cloud service, platform feature, API service, white-label solution, marketplace application, paid plugin, paid extension, or paid add-on; c. use the Software to provide services to Third Parties as a freelancer, agency, consultant, systems integrator, managed service provider, hosting provider, outsourcing provider, reseller, distributor, or other service provider; d. host, operate, manage, administer, monitor, support, customize, or maintain the Software for any Third Party as a paid or monetized service; e. make the Software available to External Users as part of a commercial product, commercial platform, commercial workflow, commercial portal, customer-facing service, partner-facing service, or monetized offering; f. include the Software as a material component of any paid product, paid service, paid subscription, paid support package, paid implementation, paid integration, paid consulting package, paid training, or paid managed offering; g. use the Software in a service bureau, time-sharing, outsourcing, or application-service-provider arrangement; h. use the Software to create, operate, or offer a competing commercial service or substantially similar commercial hosted offering; i. remove, obscure, or alter copyright notices, license notices, attribution notices, or proprietary notices; j. circumvent, disable, or interfere with any license key, attribution, telemetry, usage-limitation, access-control, or rights-management mechanism included in the Software, if any; k. claim ownership of the Software or misrepresent the Software as your own original work; l. grant sublicenses or other rights in the Software to any Third Party; m. use the Software in violation of applicable law; or n. authorize, assist, enable, or encourage any Third Party to do anything that this License prohibits. For clarity, a company may hire a contractor to help install, configure, or modify the Software solely for that company's own Permitted Internal Use. However, the contractor does not receive any independent right to offer, package, host, manage, resell, commercialize, or reuse the Software as part of the contractor's own service business. 6. Rights Reserved to synit.io Licensor retains all right, title, and interest in and to the Software. No rights are granted except as expressly stated in this License. All other rights are reserved by Licensor. Only synit.io, as Licensor, is authorized to perform Commercial Service Use of the Software, including offering the Software as a SaaS solution, managed service, hosted service, paid product, commercial platform feature, reseller offering, distributor offering, or other monetized service. Nothing in this License restricts synit.io from using, licensing, sublicensing, selling, hosting, managing, distributing, relicensing, dual-licensing, or commercially exploiting the Software in any way. 7. Separate Commercial Licenses If you want to use the Software outside the scope of this License, including for Commercial Service Use, SaaS use, managed-service use, reseller use, distributor use, service-provider use, customer-facing use, or other third-party use, you must obtain a separate written commercial license from synit.io. A separate written agreement signed or otherwise expressly accepted by synit.io may override this License for the parties to that agreement. 8. Contributions Unless a separate written agreement states otherwise, by submitting any issue, patch, pull request, code, documentation, design, idea, suggestion, or other contribution to the Software, you agree that: a. your contribution is provided under this License; b. you grant synit.io a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, copy, modify, create derivative works from, distribute, publicly perform, publicly display, make, have made, sell, offer for sale, import, export, host, operate, provide as a service, commercialize, relicense, and otherwise exploit your contribution in any form and for any purpose; c. synit.io may include your contribution in the Software or any other synit.io product, service, SaaS offering, commercial offering, or proprietary offering; d. you represent that you have the right to submit the contribution and to grant the rights described in this section; and e. synit.io is not required to use, accept, publish, or maintain your contribution. For stronger contribution control, synit.io may require a separate Contributor License Agreement before accepting contributions. 9. Third-Party Components The Software may include or depend on third-party software, libraries, packages, or components. Those third-party components may be subject to their own license terms. This License does not modify or replace the license terms of third-party components. You are responsible for complying with all applicable third-party license terms. 10. No Trademark License This License does not grant you any right to use the trademarks, service marks, trade names, logos, domain names, branding, or product names of synit.io, except as strictly necessary to provide the attribution required by this License. 11. Compliance Upon reasonable written request from synit.io, you agree to provide information sufficient to confirm that your use of the Software complies with this License. You are not required to disclose confidential business information beyond what is reasonably necessary to verify compliance. 12. Termination Any violation of this License automatically terminates all rights granted to you under this License. Upon termination, you must immediately stop using the Software and destroy all copies in your possession or control, except to the extent retention is required by law or by ordinary-course backup systems that are not used to run or access the Software. If your violation was not related to Commercial Service Use and you fully cure the violation within thirty (30) days after becoming aware of it, your rights under this License are reinstated unless synit.io has notified you in writing that your rights remain terminated. Violations involving Commercial Service Use, SaaS use, managed-service use, reseller use, distributor use, service-provider use, or removal of attribution are material violations and may be treated by synit.io as incurable unless synit.io agrees otherwise in writing. 13. Disclaimer of Warranty THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, RELIABILITY, AVAILABILITY, OR ERROR-FREE OPERATION. YOU USE THE SOFTWARE AT YOUR OWN RISK. 14. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNIT.IO AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 15. Indemnity If you use the Software in violation of this License, you agree to indemnify, defend, and hold harmless synit.io from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to that violation. 16. Governing Law This License is governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules, unless mandatory law requires otherwise. The courts with jurisdiction over synit.io's principal place of business shall have exclusive jurisdiction over disputes arising out of or relating to this License, unless mandatory law requires otherwise. 17. Entire Agreement This License constitutes the entire agreement between you and synit.io regarding use of the Software, unless superseded by a separate written agreement with synit.io. 18. Severability If any provision of this License is held to be unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision shall be interpreted or replaced to the maximum extent permitted by law to achieve the original intent of the provision. 19. No Waiver Failure by synit.io to enforce any provision of this License does not waive synit.io's right to enforce that provision or any other provision later.
